1. Acceptance of Terms

By accessing, browsing, or otherwise using the website located at www.designedcurated.com (the "Website," "Platform," or "Site"), including all associated pages, content, functionality, and services offered through the Website, you (the "User," "You," "Your," or "Client") acknowledge that you have read, understood, and agree to be bound, without limitation or qualification, by all of the terms, conditions, and notices contained in these Terms of Service (the "Terms," "Agreement," or "Terms of Service"). These Terms constitute a legally binding agreement between You and Designed | Curated Interiors, a sole-proprietor design studio owned and operated by Amy Kunst, based in Sacramento, California ("Designed | Curated Interiors," "the Studio," "We," "Us," or "Our").

Your continued use of this Website following the posting of any changes, amendments, or modifications to these Terms shall constitute Your acceptance of and agreement to the revised Terms. The Studio reserves the right to modify, amend, or supplement these Terms at any time, in its sole discretion, with such modifications becoming effective upon posting to the Website. If You do not agree to any provision of these Terms, You are instructed to immediately discontinue all use of the Website and refrain from engaging the Studio for design services.

2. Scope of Services

Designed | Curated Interiors provides residential interior design services, including consultation, space planning, material and finish selection, furniture and accessory sourcing, project coordination, and related advisory work. The exact scope of any engagement is set out in a separate written project agreement or proposal signed by both parties (the "Project Agreement"). These Terms apply to general use of the Website and supplement, but do not replace, any signed Project Agreement. In the event of a conflict between these Terms and a signed Project Agreement, the signed Project Agreement controls.

3. Inquiries, Estimates, and Project Agreements

Information provided through the Website, through contact forms, by telephone, or in initial conversations is intended for general discussion and planning only. Any price ranges, timelines, product allowances, scope descriptions, or vendor recommendations shared before a written Project Agreement is signed are preliminary, non-binding estimates only, and shall not be construed as firm offers, binding quotes, or contractual commitments. Final pricing, scope, schedule, and deliverables are established only in a written, signed Project Agreement or work order, which together with any incorporated exhibits or change orders constitutes the entire engagement.

4. Intellectual Property

All design concepts, drawings, renderings, schedules, mood boards, presentations, source lists, specifications, and other deliverables created by the Studio (collectively, the "Deliverables") remain the intellectual property of Designed | Curated Interiors unless the signed Project Agreement expressly says otherwise. Upon full payment for a specific project, the Client receives a non-transferable, non-exclusive license to use the Deliverables for the agreed project at the agreed property only. Client may not resell the Deliverables, share specifications with a competing designer, or use the Deliverables to construct a substantially similar project at a different property without the Studio's prior written permission.

The Studio may photograph the completed project and use those photographs, along with non-confidential project information, for portfolio, website, social media, marketing, editorial, and award-submission purposes. If You prefer that Your project remain private, please notify the Studio in writing before installation; the Studio will honor reasonable confidentiality requests at its discretion.

5. Client Responsibilities

To complete a project successfully, the Client agrees to:

• Provide accurate information about the property, the household, and any existing structural, mechanical, or budget constraints
• Make timely decisions on selections, approvals, and change orders
• Provide reasonable site access for measurement, photography, deliveries, and installation
• Pay all invoices on the schedule set out in the Project Agreement
• Engage qualified, licensed contractors for any construction, electrical, plumbing, structural, or other regulated work
• Obtain any required permits, HOA approvals, and landlord consents

6. Third-Party Contractors and Vendors

The Studio may recommend, coordinate with, or place orders through third-party contractors, vendors, fabricators, and trades, including general contractors, cabinetmakers, upholsterers, painters, installers, and furniture or finish suppliers. These third parties are independent businesses, not employees, partners, or agents of the Studio. They are solely responsible for the quality, workmanship, warranty, scheduling, code compliance, insurance, and conduct of their own work and products. The Studio does not guarantee the work, products, lead times, or pricing of any third party.

7. Warranties and Disclaimers

The Studio performs its services with reasonable professional skill and care. Except for that commitment, the Website and the Studio's design services are provided "as is" and "as available." To the fullest extent permitted by California law, the Studio disclaims all other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. The Studio does not warrant that the Website will be uninterrupted, error-free, or free of harmful components, and does not warrant the accuracy of third-party product information, finish samples, or specifications.

Products supplied by third-party manufacturers are covered solely by the manufacturer's own warranty, if any. Construction work is covered solely by the contractor's warranty and applicable California building law.

8. Limitation of Liability

To the fullest extent permitted by California law, the Studio's total liability arising out of or relating to these Terms, the Website, or any project engagement is limited to the design fees actually paid by the Client to Designed | Curated Interiors for the specific project giving rise to the claim. The Studio is not liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, loss of use, or loss of enjoyment, even if the Studio has been advised of the possibility of such damages. Nothing in this section limits liability that cannot be limited under California law.

9. Indemnification

You agree to defend, indemnify, and hold harmless Amy Kunst and Designed | Curated Interiors, together with any agents, representatives, and successors, from any third-party claims, damages, losses, and reasonable expenses (including reasonable attorneys' fees) arising out of: (a) Your breach of these Terms, (b) Your misuse of the Website, or (c) any modification, demolition, construction, electrical, plumbing, or installation work performed by You or by a third party that You engaged, except to the extent caused by the gross negligence or willful misconduct of the Studio.

10. Privacy

Your use of the Website is also governed by our Privacy Policy, which describes the information we collect, how we use it, and the rights you have under California law. By using the Website, you consent to the practices described in the Privacy Policy.

11. Dispute Resolution

Before filing any legal action, the parties agree to attempt in good faith to resolve any dispute by direct, informal discussion for a period of at least thirty (30) days. If the dispute is not resolved through informal discussion, the parties agree to attempt resolution through non-binding mediation with a mutually agreed mediator located in Sacramento County, California, with the parties sharing the mediator's fees equally. If mediation does not resolve the dispute within sixty (60) days after the first session, either party may proceed with formal legal action.

12. Governing Law and Venue

These Terms are governed by the laws of the State of California, without regard to its conflict-of-law rules. The exclusive venue for any legal action arising out of these Terms, the Website, or any project engagement is the state or federal courts located in Sacramento County, California, and both parties consent to personal jurisdiction in those courts.

13. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions remain in full force and effect, and the unenforceable provision will be modified only to the minimum extent necessary to make it enforceable.

14. Changes to These Terms

The Studio may update these Terms at any time. Material changes will be posted to this page with an updated "Last Updated" date. Your continued use of the Website after a change indicates Your acceptance of the updated Terms. It is Your responsibility to review these Terms periodically.
